Terms of Service
These Terms of Service govern your use of SteadRank.com and services provided by DIGITech LLC, doing business as Stead Rank ("Stead Rank," "we," "us," or "our"). By using our website or purchasing services from us, you agree to these Terms and to any proposal, statement of work, invoice, or service agreement that applies to your engagement.
Services
Stead Rank provides local SEO optimization, website design and development, and related digital marketing services for local service businesses. Specific deliverables, pricing, schedules, and responsibilities are described in the applicable proposal, order, invoice, or service agreement.
Client Responsibilities
Clients agree to provide accurate information, timely feedback, required account access, content, approvals, and other materials reasonably needed to perform the services. Delays in providing these items may affect delivery timelines.
Fees and Payment
Fees are due according to the payment schedule stated in the applicable proposal, invoice, or agreement. Recurring services may be billed automatically using the payment method on file when authorized by the client. Past-due accounts may be paused until payment is received.
The Website Care offer has two payment options unless an applicable signed agreement expressly states otherwise: (a) $0 down and $149 per month, or (b) a $499 setup fee and $99 per month. The $149 monthly price does not automatically decrease after 12 months. Both options are month-to-month.
Both Website Care payment options include five core pages: Home, About, Contact, and two dedicated service pages. Additional standard pages are $149 each as a one-time build fee unless an applicable order or signed agreement states otherwise. Additional standard pages do not increase the recurring Website Care rate. Complex pages, ecommerce, custom tools, integrations, advanced functionality, and substantial content creation may require a separate written quote. Any additional-page fees are disclosed and approved before that work begins.
Recurring Services and Cancellation
Website Care is month-to-month and may be canceled at any time. Cancellation itself costs $0 and stops future recurring Website Care charges, subject to any charges already incurred. Cancellation does not create a refund for services already performed, time already reserved, work already in progress, setup fees, or the then-current billing period.
If a client cancels Website Care without purchasing the managed website, hosting and service end and the managed website will be taken offline. The client is not required to purchase the website merely to cancel.
Optional Website Buyout and Transfer
A website buyout is optional and applies only when a canceling client wants the managed website transferred. Unless a signed agreement expressly states otherwise, the buyout price is based on the selected plan and completed time as a Website Care customer:
- $0-down plan: $1,500 during months 1–6; $1,000 during months 7–12; $500 after 12 completed months.
- $499-setup plan: $1,000 during months 1–6; $500 during months 7–12; $250 after 12 completed months.
Transfer is conditioned on payment of all outstanding fees and the applicable buyout. Transfer scope excludes Stead Rank's pre-existing tools, processes, templates, proprietary systems, software, know-how, and materials that cannot legally be transferred, including third-party assets or licenses. Domain ownership and third-party accounts are handled according to the applicable order or service agreement.
Refunds
Because our services involve professional time and customized digital work, payments are generally non-refundable once work has begun. If a refund is specifically required by a signed agreement or approved by us in writing, it will be handled according to those terms.
SEO and Marketing Results
Search rankings, traffic, leads, conversions, sales, revenue, return on ad spend, and other marketing outcomes depend on many factors outside our control, including competition, search-engine changes, client actions, market demand, website history, budget, and third-party platforms. We do not guarantee any specific ranking, traffic level, lead volume, conversion rate, sales result, revenue result, advertising result, or other performance outcome.
Local Services Ads Management is available only to businesses and markets eligible under Google's current requirements. Client advertising or lead budget is paid separately. Stead Rank does not guarantee eligibility, verification, placement, lead volume, lead quality, booked jobs, or revenue.
Website Projects
Website project scope, revisions, content responsibilities, hosting, maintenance, launch requirements, ownership, and licensing are governed by these Terms and the applicable proposal or agreement. While Website Care remains active, Stead Rank hosts and manages the website for the client under a limited service license. Third-party software, themes, plugins, hosting platforms, fonts, images, or services may have their own license terms and fees.
Intellectual Property
Unless otherwise stated in writing, each party retains ownership of materials it owned before the engagement. A Website Care subscription does not by itself transfer ownership of the managed website. After payment of the applicable optional buyout and all outstanding fees, clients receive the transferable rights to final custom website deliverables specified in the applicable agreement, excluding our pre-existing tools, processes, templates, know-how, software, and third-party materials.
Acceptable Use
You may not use our website or services for unlawful, fraudulent, abusive, infringing, or malicious activity, or in a way that interferes with our systems or the rights of others.
Third-Party Services
Our services may interact with third-party platforms such as Google, hosting providers, analytics tools, domain registrars, and payment processors. We are not responsible for outages, policy changes, account suspensions, algorithm changes, or other actions taken by third parties.
Disclaimer of Warranties
Except as expressly stated in a written agreement, our website and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the fullest extent permitted by law, DIGITech LLC and Stead Rank will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost business opportunities, or losses caused by third-party platforms. Our aggregate liability arising from a specific service engagement will not exceed the amount paid to us for that engagement during the three months preceding the event giving rise to the claim, unless applicable law requires otherwise.
Indemnification
You agree to indemnify and hold harmless DIGITech LLC, Stead Rank, and our personnel from third-party claims arising from materials you provide, your misuse of the services, your violation of law, or your infringement of another party's rights.
Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute will be brought in a court of competent jurisdiction in Clark County, Nevada, unless the parties agree otherwise in writing.
Changes to These Terms
We may update these Terms from time to time. The current version will be posted on this page with an updated effective date. Changes do not alter a separately signed agreement unless that agreement permits them.
